BY-LAWS OF THE SOUTHERN ONTARIO SOCIETY FOR BIOENERGETIC ANALYSIS ARTICLE I - NAME AND PURPOSE Section
I The Organization shall be known as the Southern Ontario Society for Bioenergetic Analysis (SOSBA) and is recognized as a member in good standing by The International Institute for Bioenergetic Analysis (IIBA). Section
II B. SOSBA shall maintain affiliation with the IIBA and encourage research, theory and principles of Bioenergetic Analysis throughout the world. C. SOSBA will promote interest in the theory and techniques, principles, and practice of Bioenergetic Analysis locally. D. SOSBA shall encourage and sponsor the development and growth of training groups and study groups, to promote experience and understanding of Bioenergetic Analysis. E. SOSBA will provide a forum for its members to collaborate for research, supervision and the development of sound therapeutic practice in Bioenergetic Analysis and other appropriate disciplines. F. SOSBA will cooperate with other regional societies to sponsor and organize regional conferences on Bioenergetic Analysis. G. SOSBA will collaborate with other human service organizations in furthering and deepening mutual understanding of human behaviour and healing. ARTICLE II - GOVERNMENT Section I GOVERNING PRINCIPLES The government, management, supervision and control of SOSBA shall be vested in its membership. As an organization, we will work in the spirit of consensus. Section II POWERS AND DUTIES OF THE MEMBERS A. Members and Quorum. Seven members, at least one of whom is on the Executive Committee, shall constitute a quorum. B. Meetings. Regular meetings shall be held at least once a year on such dates as set by the Executive Committee. Additional meetings may be set by the Executive Committee. Notice of the time and place of every meeting shall be mailed out in reasonably sufficient time to the usual address of each Member. C. Removal of Members. The Executive Committee shall have the right to remove any Member whose actions shall be determined to be detrimental to the IIBA or to SOSBA, by a three-quarters (¾) vote of the Executive Committee. Section III EXECUTIVE COMMITTEE An Executive Committee, acting on behalf of the membership, will manage the day to day running of the organization. The Executive Committee is composed of 2 Co-directors, treasurer and secretary, drawn from Active Members. The role of the Executive Committee is to execute the intention of SOSBA. It shall manage the current business of the organization in accordance with the mission and goals as defined by the Membership. This includes: Frequent communication between the Executive and Members; Presenting issues to IIBA from SOSBA; Presenting an Agenda for meetings; Making executive group decisions that involve the day to day running of SOSBA; Appointing committees as needed. Section IV OFFICERS A. The Officers of the SOSBA shall be as follows: 1. Co-Directors. The two (2) Co-Directors shall be the principal administrative officers of SOSBA. The Co-Directors shall be elected by majority vote of all of the Active Members, each on an alternate year, to ensure continuity. 2. Secretary. The Secretary shall be responsible for the books and records of SOSBA, including the minutes of all meetings. The Secretary shall be elected by majority vote of all of the Active Members. 3. Treasurer. The Treasurer shall be responsible for the financial records of SOSBA and shall ensure that all financial Files, including tax statements, are properly made. The Treasurer shall be elected by majority vote of all of the Active Members.
B. Term of Office. The election of the Executive Committee shall take
place every year. The term of office will be for 2 years, and a member
cannot hold more than 2 consecutive terms. Half the Executive Committee
will be elected each year to ensure continuity and to allow for change. ARTICLE III - MEMBERSHIP Section I CLASSES
OF MEMBERS A. Active Members : Any Certified Bioenergetic Analysis Therapist (CBT), any student who has successfully completed at least 4 years of Bioenergetic Analysis Training, or any retired CBT, and who has paid dues as provided herein. B. Student Members: Any student in Bioenergetic Analysis Training who has not yet successfully completed 4 years of training. C. Supporting Members: Any person who is interested in the goals and principles of Bioenergetic Analysis and who wants to support its development and participate in the activities of SOSBA or of the IIBA, other than Active Members or Student Members. Section II VOTING RIGHTS OF MEMBERS All Active shall have full voting rights. Student Members and Supporting Members shall have no voting rights. ARTICLE IV - DUES Annual membership dues for the IIBA for the various categories as herein defined and referred to shall be set by the Board of Trustees of the IIBA. Annual membership dues for SOSBA shall be set by the membership. Dues for the following year will be set at the annual meeting. Dues for both the IIBA and SOSBA are payable to the SOSBA Treasurer by October 31, for the next calendar year, in a timely manner. A member whose dues are in arrears shall be notified of the delinquency, and if such dues are not paid within the time prescribed by such notice to the delinquent, the delinquent member may, at the discretion of the Executive Committee, be dropped from the rolls of SOSBA and the IIBA. ARTICLE V - DISSOLUTION The Membership, by a three-quarters vote may, at a special meeting called for that purpose, cause the Society to be dissolved. In the event of dissolution, the current finances shall be distributed in compliance with federal and provincial laws amongst the members. ARTICLE VI - AMENDMENTS As permitted by provincial laws, Bylaws may be amended by a two-third (2/3) vote of the Active Members voting. December 9, 2002 |
